Terms of Service

1. Acceptance of Terms

By accessing or using AutopilotRank ("Service"), operated by ColdStart Labs Inc., you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or in-app notice. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

AutopilotRank is an AI-powered SEO content generation and CMS publishing automation platform. The Service allows users to:

  • Generate SEO-optimized articles using AI models (including Gemini, GPT-4o, and Claude)
  • Automatically publish content to WordPress and other supported CMS platforms
  • Schedule recurring content campaigns for ongoing SEO automation
  • Manage content generation credits and subscription plans

3. Account Registration

To use the Service, you must:

  • Create an account with accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Be at least 18 years old, or the age of majority in your jurisdiction

You are responsible for all activities that occur under your account, including any content published to your connected CMS platforms.

4. Credits and Payments

4.1 Credit System

The Service operates on a credit-based system. Each article generation consumes credits based on the selected AI model, article length, and features used. Credit costs are displayed before you confirm a generation.

4.2 Trial Credits

New users may receive trial credits upon registration. Trial credits are subject to expiry and may be modified or discontinued at any time without notice.

4.3 Subscription Credits

  • Subscription credits are allocated monthly and roll over (up to 6x your monthly credit allowance)
  • Credits are only available while your subscription is active — credits are forfeited if your subscription lapses
  • All subscriptions are billed and processed through Stripe
  • Prices are listed in USD unless otherwise stated

4.4 Refunds and Failed Generations

Credits are generally non-refundable once used. However:

  • Credits consumed by a failed article generation are automatically refunded to your account
  • Duplicate charges due to billing errors may be refunded upon request
  • Refund requests for other reasons are evaluated at our sole discretion

5. Subscriptions

Regarding your subscription:

  • Subscriptions automatically renew at the end of each billing period unless cancelled
  • You may cancel at any time through your account settings or via the Stripe billing portal
  • Cancellation takes effect at the end of the current billing period — you retain access until then
  • No prorated refunds are provided for partial billing periods
  • We may change subscription prices with 30 days' advance notice; continued use after the effective date constitutes acceptance of the new price

6. Acceptable Use

You agree NOT to use the Service to:

  • Generate spam, low-quality content intended to manipulate search engines in violation of their guidelines, or content designed to deceive readers
  • Publish content to websites you do not own or have authorization to manage
  • Generate content that is illegal, harmful, defamatory, or infringes on third-party intellectual property rights
  • Generate content depicting minors in inappropriate ways
  • Abuse or overload the service through automated scraping, excessive API calls, or circumvention of rate limits
  • Attempt to reverse-engineer, decompile, or exploit the Service or its underlying systems
  • Resell or redistribute access to the Service without our written authorization

Violation of these terms may result in immediate account suspension or termination without refund.

7. Intellectual Property and AI Content

7.1 Ownership of Generated Content

You own the articles and content generated through your use of the Service. By using the Service, you grant us a limited license to process your prompts and campaign data solely to provide the requested content generation and publishing services.

7.2 AI Content and Responsibility

Your article prompts are sent to third-party AI providers (such as OpenAI, Google, and Anthropic) to produce content. You are responsible for reviewing all AI-generated content before it is published and for ensuring it complies with applicable laws and does not infringe on third-party rights. We do not guarantee the accuracy, originality, or suitability of AI-generated content for any particular purpose.

7.3 Our Service

AutopilotRank, including its technology, platform, branding, and non-generated content, is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of our platform or materials without our written permission.

8. Service Availability and Uptime

We strive for high availability but make no SLA guarantees at this time:

  • The Service is provided on a best-effort basis without uptime guarantees
  • We may perform maintenance with or without advance notice
  • AI generation times may vary based on provider availability and demand
  • CMS publishing may fail due to issues with your connected platform — we will retry and notify you of persistent failures
  • We reserve the right to modify, suspend, or discontinue features at any time

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AutopilotRank AND COLDSTART LABS INC. SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, punitive, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages resulting from AI-generated content published to your website
  • Service interruptions, failed publishing events, or data loss
  • Actions or policies of third-party AI providers or CMS platforms

Our total cumulative liability for any claim shall not exceed the total amount you paid us in the 3 months preceding the claim.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability or fitness for a particular purpose
  • Non-infringement of third-party rights
  • Accuracy, originality, or SEO effectiveness of AI-generated content
  • Uninterrupted or error-free operation of the Service

SEO results and content quality depend on many factors outside our control, including AI model behavior, your target keywords, and search engine algorithms.

11. Indemnification

You agree to indemnify, defend, and hold harmless AutopilotRank, ColdStart Labs Inc., and their officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) content you generate or publish using the Service; (c) your violation of these Terms; or (d) your infringement of any third-party rights.

12. Termination

We may suspend or terminate your account at any time for:

  • Violation of these Terms or our Acceptable Use Policy
  • Fraudulent, abusive, or illegal activity
  • Non-payment or repeated payment failures
  • Any other reason at our sole discretion with reasonable notice where possible

Upon termination, your right to use the Service ceases immediately and your CMS credentials stored with us will be deleted. Unused subscription credits are forfeited. Any content already published to your CMS remains unaffected.

13. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Ontario, Canada. You consent to the personal jurisdiction of such courts.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
